First decision

One resolution. Three ways to engage.

Vertalo’s board-resolution template is written with three selectable roles. Pick the engagement, and the paperwork scopes itself.

Option A

Transfer agent of record

Vertalo acts as your registrar and SEC-registered transfer agent — recording every issuance, transfer, and cancellation, with adjunct services like proxy mailings, lost-holder searches, and escheatment in scope.

Option B

Sub-agent to your TA

Keep your registered transfer agent of record. Vertalo supports it as sub-agent and technology layer for the entity’s securities and holder data.

Option C

Technology provider

You or your appointed TA keep the official securityholder record. Vertalo hosts and administers cap-table, holder, and asset data on the platform.

Most engagements start with the role decision and never revisit it — one template covers all three, so changing your mind costs a checkbox, not a renegotiation.

Board resolution

Vertalo template

Appoints Vertalo in the role you picked above. Provided for authorized signature.

Articles of incorporation / certificate of formation

Include all amendments. Corporations file Articles; LLCs their certificate of organization or formation.

Bylaws, operating agreement, or LP agreement

Whichever your entity type requires — with amendments.

PPMs / offering circulars

Every active offering, noting the exemption relied on — Reg D 506(b)/506(c), Reg A/A+, Reg CF, or Reg S.

Authorized signers form

Vertalo template

Who may instruct Vertalo on behalf of the entity. A name and contactable email is sufficient — no SSNs.

EIN / tax ID confirmation

Usually already evident from your formation documents — confirm if not.

Submit as PDF to your account representative. Anything carrying sensitive identifiers travels securely, and the kit collects SSNs only where required and consented.

Two spreadsheets carry the record.

Bulk templates, not portals — built to scale from one asset to a multi-entity portfolio. Their drop-downs match the platform, so what you send is what gets configured.

Investors

Per-investor profile and holdings — units, issuance date, cost basis, restriction codes, accreditation basis. Entity accounts support up to fifty linked parties: officers, partners, trustees, joint owners.

Restricted securities

Exempt offerings are generally restricted under Rule 144. Legends and holding periods are confirmed at intake, so restrictions exist on the register before the first transfer request — not after it.

Form D and blue-sky filings

Reg D issuers file Form D within 15 days of first sale, plus applicable state notices. Your counsel’s responsibility — our checklist’s reminder.

Tokenized is still a security

A tokenized security remains a security under federal law. Broker-dealer, ATS, custody, and transfer-agent obligations are scoped with counsel per the SEC’s framing.

Privacy by minimization

State privacy law and GLBA shape what the kit collects. Sensitive identifiers are gathered only where the exemption and account administration require them.

Your representative confirms completeness and scopes the engagement to the role you selected.

Credentials, a seeded environment, and a walkthrough call. Test everything — or point your agent at it — before anything is live.

STEP 4

Production

Account activation. Your holder record carries over — including from a prior transfer agent.
